The following are example projects performed for Commercial companies by RMAS staff:

SEC accounting and IPO support

For a $250 million media company

Assisted with the preparation of an S-4 registration statement (the company’s initial IPO filing with the SEC). Prepared financial statements in accordance with SEC rules, wrote the MD&A section, performed all accounting research, and had a leadership role in coordinating activities with the auditors, underwriters, lawyers and company personnel. Planned all aspects of SOX compliance process for the company, identifying key systems, location, processes and controls to be documented.

For a $1 billion pharmaceutical company

Prepared the company’s SEC financial statements and third quarter 10-Q report, including SFAS 123R disclosures, MD&A, and all financial statement notes. Performed accounting research on significant transactions, and prepared memoranda summarizing the GAAP accounting treatment. Reviewed Sarbanes-Oxley testing, and assisted in completion of the company’s 404 compliance process.

For a $900 million media company

Provided technical accounting assistance to $900 million media company based in Washington, DC.

For a NASDAQ registered biotech company

Performed corporate governance review for NASDAQ listed company in Toronto, Canada

For a $25 million manufacturing company and SEC registrant

Interim corporate controller for manufacturing company and SEC registrant. Prepared financial statements in accordance with SEC rules; prepared and filed SEC reports Coordinated year-end audit and managed Sarbanes-Oxley compliance function. Performed accounting research including the implementation of SFAS 123R stock option accounting for the company.

For a technology company in the wind energy industry

Provided IPO support for a technology company in the wind energy industry raising $15 million for product development. RMAS personnel helped the company refine its business strategy and raise $15 million through a reverse merger and initial public offering of common shares. Organized bridge loan for founders, prepared IPO registration statement, prepared financial projections and forecasts, established new accounting systems and coordinated activities with investment bankers, external auditors and lawyers.

For a public biotech company

Prepared the Company’s SEC financial statements, 10-K report and Proxy Filing. Wrote MD&A and prepared proxy statement disclosures including executive compensation tables and CD&A section of proxy.


Internal audit and Sarbanes-Oxley support

For a $1 billion government contracting company

Planned and executed a Sarbanes-Oxley compliance program. RMAS personnel performed all detailed testing, coordinated efforts with the company’s Big Four auditor, made presentations to the audit committee and senior management on status of project.

For a $3 billion construction materials company

Worked with project core team to develop and implement Sarbanes-Oxley compliance program. Coordinated documentation of process controls at $2 billion division, entity level controls, and computer and information system controls (application access controls, program change controls, database controls, etc.)

For a $1.5 billion telecom company

Supported a Program Management Office managing the company’s Sarbanes-Oxley compliance effort. Prepared executive-level status reports, issue management reports and acted as a technical resource to company personnel for SOX compliance. Assisted in the evaluation and choice of SOX software platforms to be used in future years.

For a small cap biotech company

Developed and performed a full scope SOX 404 assessment project, including control documentation, risk identification, fraud assessment, entity controls, IT controls, test planning, testing, and remediation.


Financial process improvement

REIT

Developed quarterly close procedures for $300 million Real Estate Investment Trust and SEC registrant.

For a $3 billion construction materials company

Assisted financial team with a project to shorten month-end financial statement close process from 18 days to 10 days.

For a government contractor

Assisted a high tech government contractor establish its cost accounting process and the related policies and procedures to achieve compliance with government (DCAA) direct and indirect cost accounting standards. Project led to government approval of contactor for all types of government cost-based contracts.
